Artificial Intelligence Usage Policy 

This Artificial Intelligence (“AI”) Usage Policy (“Policy”) governs the use of all artificial intelligence–enabled tools, features, analyses, models, outputs, demonstrations, and services (collectively, “AI Services”) provided by BrightPath Innovations (“BrightPath,” “we,” “us,” or “our”).

This Policy is intended to clearly define the scope, limitations, and risk allocation associated with AI Services. By accessing or using any AI Services, clients acknowledge and agree to this Policy.

1. Purpose and Philosophy

BrightPath deploys AI technologies to:

  • Enhance analytical efficiency;

  • Support insight generation;

  • Assist human decision-making.

AI Services are decision-support tools only.
They are not a substitute for human judgment, professional expertise, or independent validation.

2. Scope of AI Services

This Policy applies to:

  • AI-enabled analytics, insights, and summaries;

  • Predictive, descriptive, or scenario-based outputs;

  • Demonstrations, pilots, proofs-of-concept, and evaluations;

  • Any AI-assisted content delivered via websites, portals, APIs, reports, or communications.

The specific functionality of AI Services may vary over time and may be modified, limited, or discontinued at BrightPath’s discretion.

3. No Professional, Regulatory, or Fiduciary Advice

AI Services and outputs do not constitute:

  • Legal advice;

  • Financial, investment, or lending advice;

  • Regulatory or compliance guidance;

  • Accounting, audit, or tax advice;

  • Risk management determinations;

  • Fiduciary recommendations.

BrightPath does not function as:

  • A fiduciary;

  • A regulated financial advisor;

  • A bank, lender, or regulator;

  • A substitute for internal controls, compliance functions, or professional advisors.

Client remains solely responsible for all decisions, actions, and outcomes arising from client’s use of AI Services.

4. Accuracy, Limitations, and Known Risks

Client acknowledges and agrees that:

  • AI Services may produce outputs that are incomplete, outdated, inaccurate, biased, or misleading;

  • Outputs may reflect assumptions, probabilistic reasoning, or inferred patterns rather than verified facts;

  • AI models may generate errors, omissions, or inconsistencies (“hallucinations”);

  • Outputs may not reflect current law, regulation, guidance, or supervisory expectations.

BrightPath does not guarantee the accuracy, completeness, reliability, or suitability of AI outputs for any purpose.

5. Human Oversight Requirement

AI outputs must be:

  • Reviewed by qualified human personnel;

  • Independently validated before reliance;

  • Used in conjunction with established policies, controls, and procedures.

Failure to apply human oversight constitutes misuse of AI Services.

6. User Responsibilities

Client is solely responsible for:

  • Determining whether AI outputs are appropriate for client intended use;

  • Verifying outputs before acting on them;

  • Ensuring compliance with applicable laws, regulations, and internal policies;

  • Implementing appropriate governance, controls, and safeguards.

BrightPath assumes no responsibility for downstream use, interpretation, or reliance on AI outputs.

7. Data Inputs and Training

A. User-Provided Data

Client represents and warrants that:

  • Client has the right and authority to provide any data client submits;

  • Submission of data does not violate law, confidentiality obligations, or third-party rights.

B. Model Training

Client or user data is not used to train public or third-party AI models.

BrightPath may use aggregated, anonymized, or non-identifiable data to improve internal systems, where lawful.

8. Confidentiality and Security

BrightPath applies reasonable administrative, technical, and organizational measures designed to protect data used in AI Services.

However, client acknowledges that:

  • No AI system is entirely risk-free;

  • Residual risks exist despite safeguards.

​

9. Prohibited Uses

Client may not use AI Services to:

  • Make automated decisions with legal or similarly significant effects without appropriate safeguards;

  • Replace required human review, approval, or professional judgment;

  • Generate or disseminate unlawful, deceptive, or misleading content;

  • Circumvent laws, regulations, or supervisory expectations;

  • Train competing AI models or services.

10. Regulatory and Model Risk Allocation

Client acknowledges that:

  • AI Services are not designed to meet any specific regulatory standard unless expressly stated in writing;

  • BrightPath does not warrant compliance with model risk management frameworks (e.g., SR 11-7, EU AI Act, ISO standards);

  • Responsibility for regulatory compliance and model governance rests entirely with client.

11. Disclaimers

AI SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHTPATH DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF:

  • ACCURACY;

  • NON-INFRINGEMENT;

  • FITNESS FOR A PARTICULAR PURPOSE;

  • REGULATORY ACCEPTABILITY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • BRIGHTPATH SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM OR RELATED TO AI SERVICES OR OUTPUTS;

  • THIS INCLUDES DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

  • LIABILITY IS LIMITED AS SET FORTH IN THE APPLICABLE TERMS OF SERVICE.

13. Suspension, Modification, and Termination

BrightPath may:

  • Modify AI models, features, or logic at any time;

  • Suspend or terminate access to AI Services without notice;

  • Impose usage limits or restrictions.

BrightPath has no obligation to maintain backward compatibility or continuity of AI outputs.

​

14. Intellectual Property

All AI models, architectures, prompts, workflows, and outputs are proprietary to BrightPath or its licensors.

No rights are granted to:

  • Reverse engineer;

  • Replicate;

  • Extract;

  • Train competing systems.

​

15. Survival

Sections relating to disclaimers, liability limitations, intellectual property, regulatory allocation, and user responsibility survive termination.
