Terms and Conditions

These Terms and Conditions (“Terms”) govern user access to and use of the websites, both Artificial Intelligence (“AI”) and non-AI applications, portals, content, demonstrations, tools, materials, and services provided by BrightPath Innovations, LLC (“BrightPath,” “we,” “us,” or “our”).

By accessing or using any BrightPath website or service, user agrees to be legally bound by these Terms. If user does not agree, user must not access or use the Site or Services.

1. Scope & Applicability

These Terms apply to:

  • All visitors to BrightPath websites and portals;

  • All users requesting or receiving information, demonstrations, evaluations, or pilots;

  • All interactions with BrightPath content, tools, or communications, whether public or gated.

These Terms apply regardless of whether a separate written agreement exists, except to the extent a signed agreement expressly supersedes specific provisions.

2. Definitions

“Site”: Any BrightPath website, portal, or web-based interface.

“Services”: All informational, analytical, AI-enabled, advisory-support, or demonstration offerings provided by BrightPath.

“Content”: All text, graphics, data, models, outputs, methodologies, documentation, and materials.

“User” / “User”: Any individual or entity accessing the Site or Services.

3. Eligibility & Authority

User represents and warrants that:

  • User is at least 18 years old;

  • User has authority to bind user, or the entity user represents;

  • User use complies with all applicable laws and regulations.

BrightPath may refuse access to any user at its sole discretion.

4. Permitted Use

Subject to these Terms, BrightPath grants user a limited, non-exclusive, non-transferable, revocable right to access the Site and Services solely for lawful, internal, informational purposes.

No other rights are granted, whether by implication, estoppel, or otherwise.

5. Prohibited Conduct

User agrees not to:

  • Reverse engineer, decompile, disassemble, scrape, crawl, or probe the Site or Services;

  • Attempt to bypass security, authentication, or access controls;

  • Copy, reproduce, distribute, or create derivative works of Content or outputs;

  • Use automated systems (bots, scripts, scrapers) without express written permission;

  • Use the Site or Services to develop competing products or services;

  • Interfere with the integrity, performance, or availability of the Site;

  • Use the Services for unlawful, misleading, or deceptive purposes.

Unauthorized use may result in immediate suspension and legal action.

6. Intellectual Property & Proprietary Rights

All Content, Services, methodologies, models, workflows, trade secrets, expertise, and outputs are owned exclusively by BrightPath or its licensors and are protected by intellectual property laws.

Nothing in these Terms transfers ownership or grants any license beyond the limited access expressly stated.

BrightPath reserves all rights not expressly granted.

7. Feedback

Any suggestions, ideas, or feedback user provides may be used by BrightPath without restriction or obligation, and user waives any claims to compensation or ownership related to such feedback.

8. No Professional Advice

BrightPath Services and Content are provided for informational and analytical purposes only.

They do not constitute:

  • Legal advice

  • Financial or investment advice

  • Regulatory or compliance advice

  • Accounting, tax, or audit advice

User is solely responsible for decisions made based on user’s use of the Site or Services.

9. Disclaimers

THE SITE, SERVICES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHTPATH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

MERCHANTABILITY;

FITNESS FOR A PARTICULAR PURPOSE;

NON-INFRINGEMENT;

ACCURACY, COMPLETENESS, OR RELIABILITY.

BrightPath does not warrant uninterrupted, error-free, or secure operation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

BRIGHTPATH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

THIS INCLUDES LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM;

BRIGHTPATH’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO BRIGHTPATH BY USER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations; liability will be limited to the extent permitted.

11. Indemnification

User agrees to indemnify, defend, and hold harmless BrightPath and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from:

  • User use or misuse of the Site or Services;

  • User violation of these Terms;

  • User violation of any law or third-party rights.

12. Suspension & Termination

BrightPath may suspend or terminate access:

  • At any time;

  • With or without notice;

  • For any reason, including security or compliance concerns.

Termination does not limit BrightPath’s legal rights or remedies.

13. Modifications

BrightPath may modify these Terms at any time.
Changes are effective upon posting. Continued use constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the United States and the State designated by BrightPath, without regard to conflict-of-law principles.

​

15. Venue

User agrees that any dispute shall be brought exclusively in a court of competent jurisdiction selected by BrightPath, and user consent to personal jurisdiction and venue in such courts.

16. Waiver of Class Actions

To the maximum extent permitted by law, user agrees that any dispute will be conducted on an individual basis, and not as a class, collective, or representative action.

17. Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

​

18. Survival

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, venue, and dispute resolution survive termination.
